Terms of Service

These Terms of Service (the "Terms") apply to PDF AI, including the PDF AI website, iOS app, Android app, and related products and services (collectively, the "Services"). The Services are published or made available by iAI Lab and operated by Sophon LLC ("we", "us", or "our"). For Google Play identification, the Android app uses package name chatpdf.pro.

These Terms form a binding legal contract between you ("you" or "your") and Sophon LLC regarding your download, installation, access, and use of the Services. By downloading, installing, accessing, or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

We may revise these Terms from time to time. The latest version will be made available in or through the Services or on the website where these Terms are hosted. Your continued use of the Services after an update means you accept the revised Terms.

1. License and Use of the Services

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes.

You agree not to:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services except as permitted by law or expressly authorized by us.
  • Reverse engineer, decompile, disassemble, or attempt to extract source code from the Services except where prohibited from restriction by applicable law.
  • Use the Services for unlawful, fraudulent, misleading, abusive, infringing, or harmful purposes.
  • Interfere with, disrupt, overload, or compromise the Services, our systems, or third-party systems.
  • Use automated scripts, bots, scrapers, or similar tools to access the Services in a way that exceeds ordinary human use.
  • Remove or alter proprietary notices, branding, or legal notices in the Services.
  • Use the Services to collect personal data from others without proper rights and consent.

2. User Content and Generated Output

The Services may allow you to upload, import, submit, process, or generate PDFs, documents, text, images, prompts, notes, slides, transcripts, audio, and related materials ("User Content").

You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, adapt, process, transmit, and otherwise use your User Content as necessary to:

  • Operate, provide, maintain, and improve the Services.
  • Process documents and generate summaries, answers, podcasts, notes, slides, transcripts, audio, and related outputs you request.
  • Maintain safety, security, fraud prevention, and abuse prevention systems.
  • Comply with law and enforce these Terms.

You represent and warrant that you own or have all rights necessary to provide the User Content and that your User Content and our processing of it as permitted by these Terms will not violate any law or third-party right.

Outputs generated by the Services may be incomplete, inaccurate, unavailable, or unsuitable for your intended use. You are responsible for reviewing outputs before relying on them.

3. Intellectual Property

The Services, including software, design, interfaces, features, models, workflows, graphics, trademarks, service marks, logos, and other materials, are owned by us or our licensors and are protected by intellectual property and other laws.

Except for the limited license granted in these Terms, we do not grant you any rights in the Services or our intellectual property.

4. Purchases and Subscriptions

The Services may offer paid features, in-app purchases, subscriptions, credits, or plans. Purchases may be processed by Google Play, Apple, Stripe, or another payment provider. Your payment, renewal, cancellation, and refund rights may be governed by the payment provider's terms and policies in addition to these Terms.

You are responsible for reviewing the price, billing period, renewal terms, cancellation process, usage limits, and other purchase details before completing a purchase.

5. Privacy

Your use of the Services is also governed by our Privacy Policy for PDF AI. The Privacy Policy explains how we access, collect, use, disclose, and protect information related to the Services.

6. Third-Party Services

The Services may include or interact with third-party services, platforms, SDKs, AI model providers, hosting providers, payment providers, analytics providers, crash reporting services, advertising networks, cloud storage providers, customer support providers, or links to third-party websites.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party content, services, policies, availability, or security practices.

7. Prohibited Conduct

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party right.
  • Upload, process, generate, store, share, or distribute unlawful or infringing content.
  • Harass, threaten, defame, impersonate, or harm others.
  • Circumvent security, access controls, payment systems, usage limits, or content restrictions.
  • Upload or transmit malware, spyware, or other harmful code.
  • Misrepresent your identity or affiliation.
  • Use the Services to create or distribute misleading, deceptive, harmful, or unlawful outputs.
  • Use the Services in a way that could damage, disable, impair, or interfere with our services or other users.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Services will be uninterrupted, error-free, secure, compatible with every device or browser, or that defects will be corrected. We are not responsible for data loss, file corruption, service interruptions, network failures, device failures, or issues caused by third-party services.

The Services are not a substitute for legal, financial, medical, academic, professional, or other expert advice.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sophon LLC, iAI Lab, and our affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities arising from or related to the Services or these Terms.

To the fullest extent permitted by applicable law, our total liability for any claim arising from or related to the Services or these Terms will not exceed the amount you paid to us for the Services in the twelve months before the claim arose, or USD 100, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sophon LLC, iAI Lab, and our affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses arising from or related to your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Services, close your account where supported, or uninstall the app at any time. We may suspend, restrict, or terminate your access to the Services if you violate these Terms, create risk or legal exposure, or if we discontinue the Services or any part of them.

Termination does not affect obligations that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute provisions.

12. Changes to the Services

We may modify, suspend, or discontinue the Services or any feature at any time, with or without notice, subject to applicable law. We are not liable for modifications, suspensions, discontinuation, or unavailability of the Services.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, unless applicable consumer protection laws require otherwise.

Before filing a claim, you and we agree to try to resolve the dispute informally by contacting each other. If a dispute cannot be resolved informally, it will be resolved through binding arbitration in Delaware, United States, unless applicable law requires another forum or grants you non-waivable rights.

14. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or transfer of assets.
